1. Agreement and parties
These Terms of Service govern access to and use of Recruit OS, the recruitment operating system within the REDA OS product family, operated by REDA Consultants.
A company or organisation that creates, purchases or is provisioned a Recruit OS workspace is referred to as the Customer Organisation. People authorised to use that workspace are Authorised Users. A Customer Organisation may also invite external client or hiring-manager users to a restricted portal where that feature is enabled.
By creating a workspace, accepting an invitation, purchasing a subscription or otherwise using Recruit OS, you agree to these Terms. If you use Recruit OS on behalf of a Customer Organisation, you represent that you have authority to bind that organisation to these Terms or that you are otherwise authorised to use the service under its agreement with REDA Consultants.
2. The Recruit OS service
Recruit OS provides software for recruitment and agency operations, which may include:
- Candidate and contact management.
- Client, prospect and business-development workflows.
- Job, project and recruitment-pipeline management.
- Candidate submission and client portal workflows.
- Interviews, tasks, activities and workflow automation.
- Reporting, analytics and operational intelligence.
- Terms of business, revenue and invoice workflows.
- Staff and operational administration where enabled.
- AI-assisted recruitment and workflow features.
- Connected email, calendar, file, meeting and business-service integrations.
- Public API, import, export, security, audit and recovery capabilities where available on the applicable plan or release.
Features may evolve over time. Beta, preview or planned features may be identified separately and may have different availability or reliability characteristics.
3. Workspaces and account access
Each Customer Organisation receives its own Recruit OS workspace boundary. Users must access only the workspace, records and features they are authorised to use.
Customer Organisations are responsible for:
- Maintaining accurate account, workspace and billing information.
- Assigning appropriate user roles and permissions.
- Promptly removing or restricting users who no longer require access.
- Protecting login credentials, connected accounts, API keys and exported data.
- Ensuring that people using the workspace are authorised to do so.
Users must promptly report suspected account compromise or unauthorised access.
4. Trials, subscriptions, seats and OS Credits
Recruit OS may be offered through trials, paid subscriptions, negotiated enterprise arrangements or other commercial plans published or agreed by REDA Consultants.
Unless a separate written agreement states otherwise:
- Paid staff seats are measured according to the applicable Recruit OS plan.
- Client or candidate portal users may be treated differently from paid staff seats where the published plan states so.
- Normal ATS/CRM usage and OS Credit consumption are governed by the applicable Recruit OS pricing model.
- Credit-consuming actions may require sufficient available OS Credits and may be unavailable when a credit balance is exhausted.
- Included credits, purchased credits, expiry rules, confirmation thresholds and plan allowances follow the pricing terms shown in Recruit OS or separately agreed in writing.
- Taxes, payment-provider charges and legally required fees may apply.
A Customer Organisation remains responsible for charges it validly incurs. Failure to pay amounts due may result in restricted access or suspension after any applicable notice or grace period.
5. Customer data
Customer Data means information, records, files, documents and other content submitted to Recruit OS by or for a Customer Organisation, including candidate, client, contact, job, employee and recruitment information.
As between REDA Consultants and the Customer Organisation, the Customer Organisation retains its rights in Customer Data. The Customer Organisation grants REDA Consultants the rights reasonably necessary to host, process, secure, transmit, back up and otherwise handle Customer Data to provide, support and protect Recruit OS.
The Customer Organisation is responsible for ensuring it has a lawful basis and any required notices, permissions or consents to collect and process Customer Data through Recruit OS.
6. Client portals and external users
Where enabled, a Customer Organisation may invite external users to a restricted Recruit OS portal.
The Customer Organisation controls which jobs and client-safe information are intentionally made available. Portal users must not attempt to access internal recruitment records, private notes, restricted commercial information, staff data, security information or other content outside the portal permissions granted to them.
A Customer Organisation is responsible for deciding whether a person should receive portal access and for revoking that access when it is no longer required.
7. Acceptable use
You must not use Recruit OS to:
- Break applicable law or knowingly facilitate unlawful activity.
- Access another Customer Organisation's workspace or data without authorisation.
- Bypass authentication, role, tenant, billing, security or usage controls.
- Probe, scan or attack Recruit OS except under a written, authorised security-testing arrangement.
- Upload malware, destructive code or content intended to compromise another system or user.
- Use credentials, API keys or connected accounts belonging to another person without permission.
- Scrape or export data in a manner that violates applicable law, contractual restrictions or third-party rights.
- Send spam, deceptive communications or unlawful marketing.
- Harass, discriminate against, defame or unlawfully profile a person.
- Use AI-assisted features to make unlawful fully automated final employment decisions.
- Resell or commercially exploit Recruit OS except under an agreement that expressly permits it.
REDA Consultants may apply technical limits or suspend activity reasonably believed to threaten service security, integrity, other customers or legal compliance.
8. Recruitment and employment decisions
Recruit OS is a workflow and decision-support system. Customer Organisations and their authorised users remain responsible for recruitment, employment and client decisions made using the service.
Recruit OS does not guarantee that a candidate, match, recommendation, forecast, score, summary or AI output is complete, correct or suitable for a particular decision.
Material recruitment and employment decisions should involve appropriate human review and must comply with applicable employment, discrimination, privacy and recruitment law.
9. AI-assisted features
Recruit OS may provide AI-assisted parsing, summarisation, matching, drafting, research, forecasting, prioritisation or workflow recommendations.
AI output may contain errors or omissions. Users must review output before relying on it or sending it externally. REDA Consultants does not represent that AI-generated output is professional, legal, financial or employment advice.
The Customer Organisation is responsible for determining whether its use of an AI-assisted feature is suitable for its jurisdiction, policies and recruitment process.
10. Connected services and third parties
Recruit OS may connect with third-party products such as email, calendar, file-storage, meeting, enrichment, accounting, e-signature or other business services.
Use of those services may require a separate account and is also governed by the provider's terms and privacy practices. The Customer Organisation is responsible for obtaining any necessary licences and permissions for third-party services it connects.
REDA Consultants is not responsible for a third-party provider's independent acts, outages, policy changes or service limitations, although Recruit OS may implement controls designed to fail safely when a connected provider is unavailable.
11. Files, imports and exports
Users must upload, import, connect and export only information they are authorised to process.
Recruit OS may reject, quarantine, restrict or remove files or records reasonably believed to be malicious, unsafe, unlawful or incompatible with service limits.
Customer Organisations are responsible for protecting exported data after it leaves Recruit OS.
12. Security and responsible access
REDA Consultants maintains technical and organisational safeguards intended to protect Recruit OS. Customer Organisations acknowledge that no online system can guarantee absolute security.
Users must not share credentials or deliberately weaken security controls. Customer Organisations should promptly notify REDA Consultants of suspected vulnerabilities, compromise or unauthorised access.
Independent security certifications, penetration-test reports or compliance attestations apply only where REDA Consultants expressly states that they have been completed and remain current.
13. Availability, maintenance and changes
REDA Consultants aims to provide a reliable service but does not guarantee uninterrupted or error-free availability.
Recruit OS may be unavailable because of maintenance, upgrades, incidents, provider outages, legal requirements or circumstances outside reasonable control. REDA Consultants may change or discontinue features where reasonably necessary, including for security, compliance, maintainability or product development.
Where a material paid feature is permanently discontinued, REDA Consultants will use reasonable efforts to provide appropriate notice where practicable.
14. Confidentiality
Each party may receive confidential information from the other. Confidential information must be protected using reasonable care and used only for the purpose for which it was disclosed, except where disclosure is authorised or required by law.
Customer Data, non-public product information, credentials, security information, pricing exceptions and non-public business information may be confidential depending on the circumstances.
15. Intellectual property
REDA Consultants and its licensors retain all rights in Recruit OS, REDA OS, platform software, product design, documentation, underlying workflows, trademarks and other intellectual property not expressly granted to the Customer Organisation.
These Terms do not transfer ownership of Recruit OS to a Customer Organisation or user.
Feedback may be used to improve Recruit OS without an obligation to compensate the person providing it, provided REDA Consultants does not claim ownership of Customer Data merely because feedback references a workflow or use case.
16. Suspension and termination
REDA Consultants may suspend or restrict access where reasonably necessary because of:
- Material breach of these Terms or another applicable agreement.
- Non-payment of undisputed amounts after any applicable grace period.
- Security compromise or suspected abuse.
- Unlawful activity or a valid legal requirement.
- Risk to other customers, Recruit OS or connected services.
A Customer Organisation may stop using Recruit OS subject to its applicable subscription, renewal, notice and payment commitments.
On termination or expiry, access may end and Customer Data may later be deleted according to the applicable agreement, retention policy and legal obligations. Customer Organisations should export information they need before access ends where export is available.
17. Disclaimers
To the maximum extent permitted by law, Recruit OS is provided on an “as available” basis. REDA Consultants does not warrant that every feature will meet every Customer Organisation's requirements or that all output, third-party data or integrations will be error-free.
Nothing in these Terms excludes rights or warranties that cannot lawfully be excluded.
18. Limitation of liability
To the maximum extent permitted by applicable law, REDA Consultants will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss, or for loss of profits, revenue, goodwill or business opportunity, arising from use of Recruit OS where such exclusion is legally permitted.
Any additional liability limits, service levels or remedies agreed in an executed enterprise or customer agreement take precedence over this section to the extent of any conflict.
Nothing in these Terms limits liability where doing so would be unlawful.
19. Privacy
Use of Recruit OS is also subject to the Recruit OS Privacy Policy and any applicable data-processing terms agreed with a Customer Organisation.
Customer Organisations are responsible for their own privacy notices, recruitment notices and data-subject obligations relating to Customer Data they control.
20. Governing law
Unless a separate written agreement specifies otherwise, these Terms are governed by the laws of the Republic of Singapore, without regard to conflict-of-law principles. The courts of Singapore shall have jurisdiction over disputes arising out of or in connection with these Terms, subject to any mandatory rights or agreed dispute-resolution provisions that apply.
21. Changes to these Terms
REDA Consultants may update these Terms to reflect changes to Recruit OS, law, security or commercial operation. The current version will be posted with a revised effective date. Where required by law or contract, material changes will be notified appropriately.
